Profits Tax Services

Hong Kong operates a simple, territorial-based tax system that offers significant advantages for businesses. Under the Inland Revenue Ordinance (Cap. 112), only profits arising in or derived from Hong Kong are subject to profits tax. Capital gains, most foreign-sourced income, and offshore profits are generally not taxable.

At Deep Blue CPA Limited, we provide comprehensive profits tax compliance, advisory, and planning services to help Hong Kong businesses meet their tax obligations while legitimately minimising their tax burden. Our team of AFRC registered CPAs brings ex-Big Four experience and over 15 years of hands-on tax practice serving SMEs, multinational groups, and cross-border businesses.

Our Profits Tax Services

Tax Compliance & Return Filing

  • Profits Tax Return preparation and filing (BIR51 for corporations, BIR52 for unincorporated businesses, BIR60 for individuals with business income)
  • Tax computation preparation — detailed schedules of assessable profits, capital allowances, and deductible expenses
  • Supplementary forms — completion of all IRD-required schedules and data forms
  • Certified accounts submission — coordination with your auditors to ensure timely filing of audited financial statements alongside the tax return
  • Block extension scheme — we act as your authorised tax representative to secure extended filing deadlines under the IRD's block extension scheme

Two-Tiered Profits Tax Rate Planning

Hong Kong's two-tiered profits tax regime offers a reduced rate of 8.25% on the first HK$2 million of assessable profits (for corporations), with the balance taxed at 16.5%. For unincorporated businesses, the rates are 7.5% on the first HK$2 million and 15% thereafter.

We help group entities structure their operations to ensure each qualifying entity correctly benefits from the lower-tier rate, subject to the anti-avoidance rules that restrict the concession to one nominated entity per group.

Offshore Claims & Territorial Source Advisory

Under Hong Kong's territorial source principle, profits derived from sources outside Hong Kong are not subject to profits tax. We assist clients in:

  • Offshore claim feasibility assessment — evaluating whether your business operations and revenue streams qualify for offshore treatment
  • Offshore claim structuring — advising on operational structuring to support a robust offshore position while maintaining commercial viability
  • Offshore claim submission — preparing and filing the offshore claim with supporting documentation
  • IRD investigation response — handling IRD queries and field audits related to offshore claims, including detailed representations on the source of profits

Common qualifying scenarios include online trading businesses, consultancy services performed entirely outside Hong Kong, and overseas rental income.

Foreign-Sourced Income Exemption (FSIE) Regime

Effective from 1 January 2023, Hong Kong introduced the FSIE regime in response to the EU's tax good governance requirements. Under this regime, multinational enterprise (MNE) groups must meet economic substance conditions to claim tax exemption on foreign-sourced dividends, interest, disposal gains, and intellectual property income.

We provide:

  • FSIE applicability assessment for MNE groups operating in Hong Kong
  • Economic substance review and gap analysis
  • Documentation support to substantiate exemption claims
  • Restructuring advice to align cross-border holding structures with FSIE compliance requirements

Tax Planning & Advisory

  • Tax-efficient structuring — advisory on corporate structures, group restructurings, and transaction planning to optimise tax outcomes
  • Deductibility analysis — review of expenditure to maximise deductible expenses within the Inland Revenue Ordinance framework
  • Capital allowances — claims for plant and machinery, industrial buildings, and other capital allowances
  • Loss utilisation — carry-forward and set-off of tax losses against future profits
  • Double taxation treaty relief — applications for Certificate of Resident status and treaty benefit claims

IRD Enquiries & Tax Disputes

We act as your authorised tax representative in all dealings with the Inland Revenue Department, including:

  • Handling IRD letters of enquiry and information requests
  • Preparing responses to profit tax assessments and estimated assessments
  • Filing objections and appeals against excessive tax assessments
  • Holdover of provisional profits tax applications
  • Representation during IRD field audits and tax investigations

Frequently Asked Questions

What is the Hong Kong profits tax rate?

Hong Kong profits tax uses a two-tiered rate system. For corporations, the first HK$2 million of assessable profits is taxed at 8.25%, and profits exceeding HK$2 million are taxed at 16.5%. For unincorporated businesses (sole proprietorships and partnerships), the rates are 7.5% on the first HK$2 million and 15% thereafter. Only one entity in a corporate group can claim the lower-tier rate.

Does Hong Kong tax worldwide income?

No. Hong Kong operates a territorial source principle of taxation. Only profits arising in or derived from Hong Kong are subject to profits tax. Profits sourced outside Hong Kong may be eligible for an offshore claim and are generally not taxable. Capital gains and most foreign-sourced income are also not subject to profits tax.

When is my first profits tax return due?

The IRD typically issues the first profits tax return (BIR51) approximately 18 months after a company's incorporation. The return must be filed within one month of issuance, unless an extension is obtained through a tax representative under the IRD's block extension scheme.

What is an offshore claim and who can apply?

An offshore claim asserts that a company's profits were derived from sources outside Hong Kong and are therefore not subject to Hong Kong profits tax. Common qualifying scenarios include online trading businesses, consultancy services to overseas clients, overseas rental income, and export-oriented trading companies where all business operations and contracts are executed outside Hong Kong.

What records must I keep for profits tax purposes?

Under the Inland Revenue Ordinance (Cap. 112), every business in Hong Kong must keep sufficient records of income and expenditure for at least 7 years. This includes accounts of sales and purchases, bank statements, invoices, receipts, vouchers, and related correspondence. Failure to maintain adequate records can result in penalties.

What is the FSIE regime and does it affect my company?

The Foreign-Sourced Income Exemption (FSIE) regime, effective from 1 January 2023, requires multinational enterprise (MNE) groups to meet economic substance conditions to claim tax exemption on foreign-sourced dividends, interest, disposal gains, and IP income. If your company is part of an MNE group and receives these types of foreign-sourced income, you should review your compliance with the FSIE requirements.
